Please read these Terms and Conditions (“Terms”) carefully before using the services offered by S K Enterprise (“us,” “we,” or “our”). Your access to and use of our services is conditioned on your acceptance of and compliance with these Terms.

1. Agreement to Terms

By purchasing or using our digital services (including but not limited to Instagram automation, Telegram automation, N8n workflows, social media management, UGC ads with AI, WhatsApp Business API dashboard services, website design, and other automation services), you agree to be bound by these Terms.

2. Services

We provide comprehensive automation and digital services as described on our website, including:

Automation Services:

  • Instagram automation (content posting, story scheduling, engagement automation)
  • Telegram automation (message broadcasting, bot management, channel automation)
  • N8n workflow automation (custom workflows and pre-built templates)
  • WhatsApp Business API dashboard and messaging services
  • AI-powered UGC (User-Generated Content) ads creation
  • WordPress auto-blog post automation
  • Multi-platform automation integration

Products:

  • Pre-built workflow templates
  • Ready-to-use automation solutions
  • Custom workflow development

The specific scope of work, deliverables, timelines, and revision rounds for any service will be detailed in a formal proposal or service agreement provided to you before the commencement of work.

3. Client Obligations

You agree to:

General Obligations:

  • Provide all necessary information, materials (e.g., text, images, logos, brand guidelines), and access (e.g., to website backend, social media accounts, Instagram account, Telegram account, WhatsApp Business account) required for us to perform the services in a timely manner
  • Ensure you have the legal right to use and share all materials provided to us
  • Maintain the security and confidentiality of all account credentials and access provided to us
  • Not use our services for spam, harassment, illegal activities, or any purpose that violates platform terms of service

Platform-Specific Compliance:

  • Instagram: Comply with Instagram’s Terms of Service, Community Guidelines, and API Terms. You acknowledge that Instagram automation must respect rate limits and platform policies
  • Telegram: Comply with Telegram’s Terms of Service and acceptable use policies. Ensure proper consent for broadcasting messages to groups or channels
  • WhatsApp: Comply with WhatsApp’s Commerce Policy and Business Policy when using our WhatsApp services. Obtain necessary consents from recipients before sending marketing messages
  • Social Media Platforms: Adhere to all terms, policies, and community guidelines of platforms where we provide management or automation services
  • Content Rights: Ensure all content provided for UGC ads, social media posts, or automation workflows does not infringe on any copyrights, trademarks, or intellectual property rights

Data Protection and Consent:

  • Obtain necessary consents and permissions before using customer data in automation workflows
  • Comply with applicable data protection laws (GDPR, CCPA, DPDPA, etc.)
  • Ensure you have proper legal basis for processing personal data through our automation services

Delays in providing materials or access may result in project delays for which we are not responsible.

4. Orders and Payments

Pricing and Payment Terms:

  • All prices are listed in Indian Rupees (INR) unless otherwise specified
  • Payment is required before the commencement of any service, unless an alternative payment plan (e.g., for large projects or recurring services) has been mutually agreed upon in writing
  • We use PayU and other third-party payment processors. By making a payment, you agree to be bound by the payment provider’s Terms of Service
  • You are responsible for any applicable taxes, such as GST, which will be added to your invoice
  • For subscription-based services, payments are billed according to the billing cycle specified in your service agreement

Workflow Templates and Digital Products:

  • Pre-built workflow templates and digital products are sold on a one-time payment basis unless otherwise specified
  • No refunds are provided for digital products once delivered, except as specified in our Refund Policy
  • Templates are provided “as-is” with setup documentation and basic support

5. Revisions and Approvals

Creative Services:

  • For creative services like website design, thumbnail design, and custom UGC ad creation, the number of included revision rounds will be specified in the project proposal
  • Additional revisions beyond the agreed scope will be subject to extra charges
  • A service is considered complete and approved upon final delivery or after a specified review period (typically 7 days) without requested changes

Automation Workflows:

  • Custom N8n workflows include testing and refinement during development
  • Minor adjustments within the original scope are included; major changes or additions require additional payment
  • Pre-built templates are provided as-is with basic customization support only

6. Subscription Services

Social Media Management:

  • Provided on a monthly subscription basis
  • Includes content planning, creation, posting, and engagement as per selected package
  • Payments are billed in advance for each service period
  • You may cancel your subscription by providing us with at least 15 days’ written notice before your next billing date
  • Scheduled content may be provided for the notice period upon cancellation

Instagram Automation Services:

  • Subscription includes automated posting, story scheduling, and engagement features as per selected plan
  • Service depends on Instagram API availability and compliance with Instagram’s rate limits
  • Account suspensions due to platform policy violations are your responsibility
  • You may cancel by providing 15 days’ written notice before your next billing date

Telegram Automation Services:

  • Subscription includes bot management, message broadcasting, and channel automation as per selected plan
  • Message delivery is subject to Telegram’s infrastructure and policies
  • You are responsible for compliance with Telegram’s spam and abuse policies
  • You may cancel by providing 15 days’ written notice before your next billing date

WhatsApp Business API Dashboard:

  • Access to our WhatsApp Business API dashboard is provided on a subscription basis
  • Subscription tiers and pricing are detailed in your service agreement
  • Message volumes, conversation limits, and other usage metrics may vary by plan
  • Billing is based on your selected plan and may include usage-based charges for messages sent
  • You may cancel your subscription by providing us with at least 15 days’ written notice before your next billing date
  • Upon cancellation, your access to the dashboard will be terminated at the end of your current billing period
  • Message history and data may be retained for a limited period as specified in our Privacy Policy

7. Platform-Specific Terms

7.1 Instagram Automation Terms

Service Scope:

  • Our Instagram automation services include content scheduling, auto-posting, story automation, and engagement features
  • Features are subject to Instagram’s API capabilities and restrictions

Compliance Requirements:

  • You must use your own Instagram Business or Creator account
  • You are responsible for all content posted through our automation
  • You must comply with Instagram’s rate limits and best practices
  • Automation of follows, likes, or comments must comply with Instagram’s policies

Service Limitations:

  • We are not responsible for Instagram algorithm changes, API restrictions, or platform updates
  • Instagram may limit or remove API access, affecting our service capabilities
  • Account suspensions or bans due to policy violations are solely your responsibility
  • We cannot guarantee specific engagement rates, follower growth, or reach

Account Security:

  • You are responsible for maintaining your Instagram account security
  • We recommend using Instagram’s official authentication methods
  • We are not liable for unauthorized access to your account

7.2 Telegram Automation Terms

Service Scope:

  • Our Telegram automation services include bot creation, message broadcasting, channel management, and automated responses
  • Services depend on Telegram’s Bot API and platform features

Compliance Requirements:

  • You must have proper authorization for any groups or channels you manage
  • You must obtain consent before adding users to groups or broadcasting messages
  • You must comply with Telegram’s spam, abuse, and content policies
  • Bot usage must respect Telegram’s rate limits and flood prevention measures

Service Limitations:

  • Message delivery depends on Telegram’s infrastructure
  • Telegram may restrict or ban bots that violate their policies
  • We are not responsible for Telegram API changes, downtime, or restrictions
  • Bot performance may vary based on Telegram’s server load and policies

Content Responsibility:

  • You are solely responsible for all messages sent through our automation
  • You must ensure content does not violate Telegram’s terms or applicable laws
  • We reserve the right to suspend service if we detect policy violations

7.3 N8n Workflow Automation Terms

Custom Workflows:

  • Custom workflows are developed based on your specific requirements and specifications
  • We will test workflows before delivery, but you are responsible for final acceptance testing
  • Complex workflows may require multiple iterations to achieve desired functionality
  • Source code and workflow configurations are provided upon full payment

Pre-Built Templates:

  • Templates are provided “as-is” with documentation
  • Basic setup support is included; extensive customization requires additional service purchase
  • Templates may require updates if third-party APIs or services change
  • Compatibility with your specific environment is your responsibility to verify

Third-Party Integrations:

  • Workflows may connect to third-party services (e.g., Google Sheets, Slack, Airtable, CRM systems)
  • You are responsible for maintaining valid API keys and access credentials
  • We are not responsible for changes to third-party APIs or service disruptions
  • Some integrations may require separate subscriptions or API access fees

Self-Hosting and Maintenance:

  • If you self-host n8n, you are responsible for server maintenance, updates, and security
  • We can provide setup assistance, but ongoing server management is your responsibility unless separately contracted
  • Workflow functionality depends on your n8n instance being properly configured and maintained

7.4 WhatsApp Business API Terms

As a WhatsApp Tech Provider, the following additional terms apply:

Account Requirements:

  • You must have a valid WhatsApp Business account to use our WhatsApp API services
  • You are responsible for maintaining the security and confidentiality of your WhatsApp Business account credentials
  • You must comply with WhatsApp’s Business Policy, Commerce Policy, and Terms of Service at all times

Message Usage and Compliance:

  • You are solely responsible for the content of messages sent through our platform
  • You must obtain proper opt-in consent before sending marketing or promotional messages
  • You must provide clear opt-out mechanisms in your messages
  • You agree not to send spam, unsolicited messages, or content that violates WhatsApp’s policies
  • You must comply with applicable data protection laws (GDPR, CCPA, DPDPA, etc.) when messaging users

Service Limitations:

  • Message delivery is dependent on WhatsApp’s infrastructure and is not guaranteed
  • We are not responsible for WhatsApp service outages, API changes, or limitations imposed by WhatsApp/Meta
  • WhatsApp/Meta may suspend or terminate accounts for policy violations, and we are not liable for such actions
  • Message rates and capabilities are subject to WhatsApp’s rate limits and quality ratings

Template Messages:

  • Marketing and promotional messages require pre-approved message templates
  • Template approval is managed by WhatsApp and may take 24-48 hours
  • We will assist with template creation but cannot guarantee approval
  • Rejected templates may need modification and resubmission

Quality Rating and Account Health:

  • Your WhatsApp Business account quality rating affects message delivery and capabilities
  • Low quality ratings may result in restricted messaging limits
  • You are responsible for maintaining good account health by following WhatsApp’s best practices
  • We may suspend or terminate services if your account is flagged for violations

7.5 UGC Ads with AI Terms

Service Description:

  • Our AI-powered UGC ads service creates user-generated content style advertisements using artificial intelligence
  • Service includes concept development, AI-generated content creation, and ad copy suggestions

Content Ownership and Usage:

  • Upon full payment, you receive commercial usage rights to the delivered UGC ad content
  • You are responsible for ensuring the generated content is appropriate for your brand and complies with advertising regulations
  • We retain the right to showcase samples in our portfolio unless an NDA is signed

AI-Generated Content Disclaimer:

  • AI-generated content may require human review and refinement
  • We do not guarantee that AI-generated faces, voices, or personas represent real individuals
  • You are responsible for ensuring AI-generated content complies with platform advertising policies (Facebook, Instagram, Google Ads, etc.)
  • You must disclose that content is AI-generated where required by law or platform policy

Platform Compliance:

  • You must ensure UGC ads comply with advertising standards of platforms where they will be used
  • We are not responsible for ad rejections due to platform policy changes
  • You are responsible for any claims related to misleading advertising or false representation

Revisions:

  • The number of revision rounds is specified in your service agreement
  • Major concept changes beyond the original brief may require additional fees

7.6 Social Media Management Terms

Service Scope:

  • Services include content planning, creation, scheduling, posting, and community management as per selected package
  • Platforms managed are specified in your service agreement
  • Number of posts, stories, and engagement hours are package-dependent

Content Creation:

  • We create original content based on your brand guidelines and approved strategy
  • You must provide brand assets, guidelines, and necessary approvals in a timely manner
  • Urgent posts or off-strategy content may incur additional charges

Approval Process:

  • Content is typically provided for approval before posting (unless express posting is agreed)
  • You must review and approve content within the specified timeframe (usually 24-48 hours)
  • Missed approval deadlines may result in delayed posting or automatic posting if previously agreed

Performance and Results:

  • We do not guarantee specific follower growth, engagement rates, or conversion metrics
  • Social media performance depends on multiple factors including platform algorithms, content quality, audience, and market conditions
  • We provide regular reports on performance metrics as specified in your package

Crisis Management:

  • Basic community management is included; crisis management may require additional services
  • We will alert you to significant issues or negative feedback
  • You are ultimately responsible for brand reputation and crisis response decisions

Account Access:

  • You must provide necessary access to social media accounts
  • We recommend using business manager tools rather than sharing passwords
  • You retain full ownership of your social media accounts at all times

8. Intellectual Property

Your Content:

  • You retain ownership of all content, materials, brand assets, and data you provide to us
  • You grant us a limited license to use your content solely for providing the contracted services
  • For social media and WhatsApp services, this includes the right to post/transmit your content through respective platforms

Our Deliverables:

  • Upon receipt of full and final payment, you will own the finished deliverables (e.g., final website design, custom workflows, UGC ad content, social media content created for you)
  • We retain the right to showcase completed work in our portfolio and marketing materials unless a non-disclosure agreement has been signed
  • We retain ownership of all draft concepts, templates, source methodologies, and proprietary processes

Workflow Templates:

  • Pre-built workflow templates are licensed to you for use in your business
  • You may customize templates for your own use but may not resell, redistribute, or share templates
  • Templates remain our intellectual property; you receive a non-exclusive usage license

Platforms and Software:

  • Our dashboards, automation platforms, and proprietary software remain our exclusive intellectual property
  • You receive a non-exclusive, non-transferable license to access and use these platforms during your subscription period
  • You may not copy, modify, reverse engineer, or create derivative works from our platforms

Third-Party Assets:

  • Stock images, fonts, or assets used require proper licensing
  • You are responsible for obtaining necessary licenses for any third-party assets you request
  • We can assist in sourcing licensed assets, with costs passed through to you

9. Warranties and Disclaimers

Our Services:

  • We will perform services with reasonable skill and care consistent with industry standards
  • We do not guarantee specific results, rankings, follower growth, engagement rates, traffic, conversions, or sales from our services
  • Results depend on multiple factors beyond our control including market conditions, audience behavior, and platform algorithms

Platform Dependencies:

  • Many of our services depend on third-party platforms (Instagram, Telegram, WhatsApp, social media networks)
  • We provide access and automation but do not control platform infrastructure, policies, or algorithms
  • Services are provided “as is” without warranties regarding platform availability, reliability, or uninterrupted access

Instagram Services:

  • We do not guarantee Instagram API availability, feature access, or account safety
  • Instagram algorithm changes may affect automation effectiveness
  • Account restrictions or bans due to policy violations are your responsibility

Telegram Services:

  • We do not guarantee Telegram Bot API availability or specific bot performance
  • Message delivery rates depend on Telegram’s infrastructure
  • Bot restrictions or removals due to policy violations are your responsibility

WhatsApp Services:

  • We do not guarantee message delivery rates, template approvals, or account quality ratings
  • WhatsApp/Meta may change their APIs, policies, or pricing at any time
  • Account suspensions for policy violations are your responsibility

AI-Generated Content:

  • AI-generated UGC ads may require human review and refinement
  • AI output quality can vary and may not always meet expectations
  • We do not guarantee AI content will be approved by advertising platforms

N8n Workflows:

  • Custom workflows are tested but may require adjustments in your specific environment
  • Third-party API changes may affect workflow functionality
  • Pre-built templates may need updates for compatibility

Third-Party Services:

  • Our services integrate with numerous third-party platforms
  • We are not responsible for changes, outages, price increases, or discontinuation of third-party services
  • You are responsible for complying with all third-party terms of service

10. Limitation of Liability

To the maximum extent permitted by law:

General Limitations:

  • S K Enterprise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, business opportunities, customers, or goodwill
  • Our total liability for any claim shall not exceed the amount paid by you for the service in question during the 12 months preceding the claim, or ₹10,000, whichever is less

Specific Exclusions:

We are not liable for any damages resulting from:

  • Platform policy changes, account suspensions, bans, or restrictions (Instagram, Telegram, WhatsApp, social media platforms)
  • Algorithm changes affecting reach, engagement, or performance
  • Message delivery failures or delays
  • Third-party service outages, API changes, or discontinuation
  • Your violation of platform policies or applicable laws
  • Unauthorized access to your accounts
  • Loss of data due to your actions, platform issues, or third-party problems
  • Negative comments, reviews, or reputation damage on social media
  • Failure to achieve specific follower growth, engagement, or conversion targets
  • AI-generated content not meeting expectations or platform approval
  • Workflow malfunctions due to third-party API changes
  • Server downtime if you self-host solutions
  • Legal claims arising from your content or marketing practices

Platform-Specific Limitations:

  • Instagram: Account restrictions, shadowbans, follower loss, or engagement drops
  • Telegram: Bot restrictions, group/channel removals, or message delivery issues
  • WhatsApp: Quality rating decreases, template rejections, or account limitations
  • Social Media: Content rejections, account suspensions, or algorithm penalties

11. Indemnification

You agree to indemnify and hold harmless S K Enterprise, its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

Your Use of Services:

  • Your use or misuse of our automation, management, or creative services
  • Your violation of these Terms or any applicable laws or regulations
  • Your violation of any third-party platform terms, policies, or regulations

Platform Violations:

  • Your violation of Instagram, Telegram, WhatsApp, or any social media platform terms of service
  • Content you create, provide, or approve for posting
  • Claims by recipients of your messages, posts, or automated communications
  • Your infringement of any intellectual property, privacy, or other rights

Content and Marketing:

  • Claims related to false advertising, misleading content, or misrepresentation
  • Copyright, trademark, or intellectual property infringement claims
  • Privacy violations or unauthorized use of personal data
  • Defamatory, offensive, or illegal content you provide or approve

Data Protection:

  • Data protection violations or unauthorized processing of personal data
  • Failure to obtain necessary consents for marketing communications
  • Non-compliance with GDPR, CCPA, DPDPA, or other privacy regulations

12. Termination

Termination by You:

  • You may terminate services by providing written notice as specified for each service type
  • Subscription services require 15 days’ notice before the next billing date
  • One-time projects may be cancelled with potential cancellation fees for work already completed
  • Termination does not relieve you of payment obligations for services already rendered or subscription periods already paid
  • Upon termination, you must remove our access to all connected accounts and platforms

Termination by Us:

We may suspend or terminate services immediately if:

  • You violate these Terms or any third-party platform policies
  • Your account on any platform (Instagram, Telegram, WhatsApp, social media) is suspended or banned
  • Your payment is overdue by more than 7 days
  • We determine your use poses a risk to our platform, reputation, or other users
  • We are required to do so by law, court order, or platform requirements (Instagram, WhatsApp/Meta, Telegram)
  • You engage in abusive, threatening, or inappropriate behavior toward our staff
  • You use our services for illegal activities, spam, or fraudulent purposes

Effect of Termination:

  • Upon termination, your access to our dashboards, platforms, and services will cease
  • You remain responsible for all charges incurred before termination
  • We may retain data as required by law or our Privacy Policy
  • Scheduled social media content may be cancelled
  • Active automation workflows will be stopped
  • We will provide reasonable assistance (up to 7 days) for transition to another provider if requested
  • No refunds will be provided for unused portions of subscription periods, except as required by law

Survival:

  • Provisions regarding liability, indemnification, intellectual property, confidentiality, and dispute resolution survive termination

13. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, war, terrorism, riots, civil unrest, or pandemics
  • Government actions, laws, regulations, or restrictions
  • Internet, telecommunications, or power failures
  • Cyberattacks, hacking, or security breaches affecting our infrastructure or third parties
  • Changes to third-party services, APIs, or platforms (Instagram, Telegram, WhatsApp, Meta, social media networks)
  • Third-party platform outages, restrictions, or policy changes
  • Strikes, labor disputes, or supplier failures

In such events, we will make reasonable efforts to resume services and will notify you of any significant delays.

14. Confidentiality

Our Obligations:

  • We will keep confidential any proprietary business information, strategies, or data you share with us
  • We will not disclose client information to third parties except as necessary to provide services or as required by law
  • Our staff and contractors are bound by confidentiality obligations

Your Obligations:

  • You will keep confidential any proprietary methodologies, processes, or systems we share with you
  • You will not reverse engineer, copy, or recreate our platforms or proprietary workflows
  • You will not share access credentials to our platforms with unauthorized parties

Exceptions:

  • Information that is publicly available or becomes public through no fault of ours
  • Information you authorize us to disclose
  • Information required to be disclosed by law, regulation, or court order
  • Portfolio samples (unless NDA signed)

15. Dispute Resolution

Informal Resolution:

  • Before initiating any formal proceedings, you agree to contact us to attempt to resolve the dispute informally
  • We will attempt to resolve the dispute through good faith negotiations for at least 30 days
  • Either party may escalate to formal dispute resolution if informal resolution fails

Arbitration:

  • If informal resolution fails, disputes shall be resolved through binding arbitration in Surat, Gujarat, India
  • Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996
  • The arbitration shall be conducted by a single arbitrator mutually agreed upon, or appointed by the court if no agreement is reached
  • Each party shall bear its own costs unless otherwise determined by the arbitrator
  • The arbitrator’s decision shall be final and binding

Exceptions:

  • Either party may seek injunctive relief in court to prevent intellectual property infringement or confidentiality breaches
  • Small claims court jurisdiction is preserved for claims within jurisdictional limits

16. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes that are not subject to arbitration shall be subject to the exclusive jurisdiction of the courts located in Surat, Gujarat, India.

17. General Provisions

Entire Agreement:

  • These Terms, together with our Privacy Policy and any service-specific agreements or proposals, constitute the entire agreement between you and S K Enterprise
  • These Terms supersede all prior agreements, understandings, or communications

Severability:

  • If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full effect
  • Invalid provisions will be modified to the minimum extent necessary to make them valid and enforceable

No Waiver:

  • Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights
  • No waiver shall be effective unless made in writing and signed by our authorized representative

Assignment:

  • You may not assign or transfer these Terms or any rights hereunder without our prior written consent
  • We may assign our rights and obligations to affiliates, successors, or in connection with a merger or acquisition without restriction
  • Any attempted assignment in violation of this section is void

Independent Contractors:

  • Our relationship is that of independent contractors
  • Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship

Notices:

  • All notices must be in writing and sent to the contact information provided in these Terms
  • Notices to you may be sent to the email address associated with your account
  • Notices are deemed received when delivered by email (upon sending), courier service (upon delivery), or certified mail (3 days after mailing)

Language:

  • These Terms are provided in English
  • In case of any translation, the English version shall prevail in the event of any conflict or ambiguity

Headings:

  • Section headings are for convenience only and do not affect interpretation

Electronic Communications:

  • You consent to receive electronic communications from us regarding your services
  • Electronic communications satisfy any legal requirement for written communications

18. Service-Specific Terms

Instagram Automation:

  • Minimum 30-day commitment for subscription services
  • No guarantee of follower growth or engagement rates
  • Client must maintain Instagram Business or Creator account status

Telegram Automation:

  • Client responsible for all bot content and compliance
  • We reserve the right to refuse service for spam or abusive use cases
  • Message broadcasting requires proof of consent from recipients

N8n Workflows:

  • Custom workflows include 30 days of post-delivery support for bugs
  • Pre-built templates include 7 days of setup support
  • Workflow updates due to third-party API changes may require additional fees after 90 days

WhatsApp Business API:

  • Minimum 3-month commitment for dashboard access
  • Message pricing subject to WhatsApp’s pricing changes
  • Account quality is customer’s responsibility

Social Media Management:

  • Content approval required within 24-48 hours
  • Emergency/crisis management available as add-on service
  • Brand guidelines must be provided within 7 days of service start

UGC Ads with AI:

  • 2-3 revision rounds included
  • Final delivery within 5-7 business days
  • Platform compliance review recommended before running ads

19. Age and Capacity

You must be at least 18 years old and have the legal capacity to enter into this agreement. By using our services, you represent and warrant that you meet these requirements.

20. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide reasonable notice of material changes by:

  • Posting the new Terms on this page with an updated “Last Updated” date
  • Sending notification via email to registered users
  • Providing in-dashboard notifications for active subscribers
  • Posting announcements on our website
